(the &#8220;<b>ATHC<\/b>&#8220;), a wholly-owned subsidiary of AMSC, (the &#8220;<b>Transaction<\/b>&#8220;). ATHC, through its subsidiaries, owns nine handysize products tankers and one handysize shuttle tanker, all of which are on long-term bareboat charter to Overseas Shipholding Group Inc. (NYSE:OSG) or Keystone Shipping Co. and operated in the U.S. Jones Act market.<\/p>\n<div id=\"prni_dvprnejpg790fleft\" dir=\"ltr\" style=\"width: 100%; text-align: left;\"><img decoding=\"async\" id=\"prnejpg790fleft\" title=\"Maritime Partners Logo\" src=\"https:\/\/mma.prnewswire.com\/media\/1699561\/Maritime_Partners_Logo.jpg\" alt=\"Maritime Partners Logo\" align=\"middle\"\/><\/div>\n<p>AMSC will receive gross cash proceeds from the Transaction, subject to certain adjustments, of in an aggregate amount of <span class=\"xn-money\">US$ 249.3 million<\/span>, divided between consideration for the shares in ATHC and repayment of a shareholder loan, reflecting an enterprise value of ATHC of <span class=\"xn-money\">US$ 746.7 million<\/span> based on the balance sheet of ATHC as at <span class=\"xn-chron\">March 31, 2023<\/span>. The parties expect the Transaction to close on or before <span class=\"xn-chron\">October 31, 2023<\/span>.<\/p>\n<p>AMSC&#8217;s Board of Directors unanimously approved AMSC&#8217;s entry into the SPA. The closing of the Transaction is subject to the satisfaction of certain customary conditions, as well as the approval of the Transaction by the affirmative vote of 2\/3 of AMSC&#8217;s shareholders present and voting at an extraordinary general meeting of AMSC expected to be held during the second half of <span class=\"xn-chron\">September 2023<\/span>.
