Automotores Gildemeister SpA Announces Expiration Of Exchange Offer And Consent Solicitation

SANTIAGO, Chile, Oct. 30, 2019 /PRNewswire-HISPANIC PR WIRE/ — Automotores Gildemeister SpA (the “Company”) announced today the expiration and results of the exchange offer and consent solicitation (the “Offers and Solicitation”) for its US$515,250,522 7.50% Senior Secured Notes due 2021 (the “Existing Senior Secured Notes”), US$24,194,000 8.250% Senior Unsecured Notes due 2021 (the “2021 Notes”) and its US$5,122,000 6.750% Senior Unsecured Notes due 2023 (the “2023 Notes,” and together with the 2021 Notes and the Existing Senior Secured Notes, the “Existing Senior Notes”) on the terms previously announced in the offering and solicitation memorandum dated September 30, 2019 (as supplemented from time to time, the “Offering and Solicitation Memorandum”).  The Offers and Solicitation expired at 5:00 pm, New York City time, on October 29, 2019 (the “Expiration Date”).  The Company’s Existing Senior Notes tendered in the Offers and Solicitation will be exchanged for 7.50% New Senior Secured Notes due 2025, New Series A Warrants and New Series B Warrants.  Settlement is expected to occur on November 7, 2019, subject to the terms and conditions of the Offers and Solicitation.  In addition, pursuant to the Offers and Solicitation, certain amendments to the terms and conditions of the Existing Senior Notes will be adopted and become effective upon the settlement of the Offers and Solicitation.

The performance of the 2020 CX-9 has also been enhanced. The turbocharged Skyactiv-G 2.5T engine equipped on all CX-9 models now delivers a robust 320 lb-ft of torque on 93 octane gasoline (310 lb-ft of torque on 87 octane gasoline); an increase of 10 lb-ft of torque on the outgoing model year. The turbocharged engine is rated to deliver up to 250 horsepower on 93 octane gasoline (227 horsepower on 87 octane gasoline) and is paired with a quick-shifting, six-speed Skyactiv-Drive automatic transmission. Mazda’s predictive i-Activ all-wheel drive is standard in CX-9 Signature and available on all other trim levels. When paired with i-Activ all-wheel drive, the 2020 CX-9 is the first Mazda vehicle offered with the all-new off-road traction assist feature. Replacing the traction control button, this feature can potentially help the driver when adventuring on uneven terrain. When the diagonal wheels lose traction, off-road traction assist will stop reducing the engine torque and increases the brake force on the wheels without traction. The custom N600 that won the inaugural Honda Super Tuner Legends Series also boasts a modified Mazda Miata suspension system, seats from a Polaris RZR®, and modified front and rear bumpers from a 1967-68 Chevy® Camaro. Honda N600
After a decade of growth that led to Honda becoming the top-selling motorcycle manufacturer in America and the world, Honda began automobile sales in U.S. in 1970 with the Honda N600, with a starting price of $1,300. At just 122 inches in length, the N600 was small enough to fit between the front and rear wheels of some full-size American passenger cars of the time.

Hot Wheels™ Legends Tour
The first-ever Hot Wheels™ Legends Tour was held in 2018 to commemorate the toy car’s 50th anniversary and drew in more than 3,600 cars and 65,000 fans. Hot Wheels™ aficionados from across the country entered their life-size custom cars in the hope of it being the winning vehicle chosen to be made into a Hot Wheels™ toy car. This year, Hot Wheels™ expanded the Legends Tour to include more than 18 stops throughout the country at Walmart stores in cities with deep-rooted ties to car culture. IEHP and community partners present the first Move the Needle Summit to improve lives in the Inland Empire
