MEXICO CITY, June 20, 2018 /PRNewswire-HISPANIC PR WIRE/ — FIBRA Prologis (BMV: FIBRAPL14), one of the leading owners of Class-A logistics real estate in Mexico, today announced it will host an ordinary certificate holders’ meeting Thursday, July 5, 2018 at 11:00 a.m. CT in the office of the Common Representative, Monex Casa de Bolsa, S.A. de C.V., located at Av. Paseo de la Reforma No. 284, floor 9, Col. Juárez, C.P. 06600, México, Distrito Federal.
The agenda for the Ordinary Holders’ Meeting includes the management presentation with respect to the triggering of an incentive fee on June 4, 2018 by its sponsor, Prologis, in accordance with the Management Agreement and approval for the holders to carry out the issuance of 5,811,051 additional Certificados Bursatiles Inmobilarios (“CBFIs”) to be applied as payment of the Incentive Fee in accordance with Clause 8.3 of the Management Agreement. Should the holders not approve the issuance of the CBFIs, the incentive fee will be paid in cash as provided in the Management Agreement. Any new CBFIs issued for the payment of the incentive fee will be subject to a lock-up period of six months.
The incentive fee was calculated by FIBRA Prologis, and validated by its external auditor.
